BUSINESS RING CONTRACT

WHEREAS

WHEREAS, Client Name: desires to procure custom business rings for corporate identification, employee recognition, or promotional purposes in accordance with the specifications and schedule set forth herein;

WHEREAS, Vendor Name: is engaged in the design, manufacture, and supply of custom jewelry and has represented that Vendor will perform such services in conformity with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Vendor will design, produce, deliver, and transfer the business rings to Client.

Scope of Work

Vendor shall design, manufacture, finish, and deliver the business rings (the "Deliverables") in accordance with the specifications, quantities, and schedule set forth below. Vendor shall perform all work with professional skill and care, consistent with industry standards.

Payment Terms

The Client shall pay Vendor the fees set forth below in consideration for the Deliverables. All amounts are stated in U.S. dollars and exclusive of applicable taxes unless otherwise stated.

All payments shall be due in accordance with the payment schedule. If Client fails to pay any undisputed amount when due, Vendor may suspend performance or delivery after providing written notice and the opportunity to cure as set forth in this Agreement. Client shall be responsible for reasonable costs of collection, including attorneys' fees, for amounts not paid when due.

Delivery and Acceptance

Vendor shall deliver the Deliverables to the delivery location stated in Vendor Address or as otherwise agreed in writing. Client shall inspect Deliverables upon receipt and shall notify Vendor in writing of any nonconformity within the acceptance period set forth below. Absent timely written notice, the Deliverables shall be deemed accepted.

Term and Termination

This Agreement shall commence on the Start Date set forth below and, unless earlier terminated in accordance with this Agreement, shall continue until the End Date set forth below or until completion of the Deliverables and final payment by Client.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the applicable cure period following written notice. Upon termination, Client shall pay Vendor for all work performed and non-cancellable commitments incurred up to the effective date of termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public business information, trade secrets, technical data, designs, pricing, customer lists, and other proprietary information disclosed in oral, written, or electronic form. Each party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to its employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein, and (c) take reasonable measures to protect confidentiality. Confidential Information shall not include information that is publicly known through no breach of this Agreement, independently developed without reference to the other party's Confidential Information, or required to be disclosed by law (provided the disclosing party gives prompt notice to allow for protective measures).

Intellectual Property and Warranty

Vendor warrants that Deliverables shall materially conform to the agreed specifications at the time of delivery. Vendor assigns to Client all right, title, and interest in and to Client-specific designs and artwork created by Vendor under this Agreement upon full payment, excluding Vendor pre-existing tools, molds, techniques, and trade secrets. Vendor retains ownership of Vendor's tooling and any general skills or know-how, subject to Client's rights to use delivered designs as contemplated by this Agreement.

Indemnification and Limitation of Liability

Each party shall indemnify the other for third-party claims arising from its gross negligence or willful misconduct. Except for liability arising from a party's indemnification obligations, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, or punitive damages, and aggregate liability shall be limited to direct damages up to the amount actually paid under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall lie in the state or federal courts located in that state.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices are effective upon receipt.

Entire Agreement

This Agreement, including all Schedules and attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or agency relationship. Each party represents that it has the authority to enter into this Agreement.
