BUSINESS RISE DOCUMENT

This Business Rise Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client operates a business seeking growth, strategic advisory, and implementation services to improve revenue, market position, or operational scale; and

WHEREAS, Service Provider possesses experience, personnel, and methodologies to deliver business development, marketing, and operational improvement services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform services for Client and Client will compensate Service Provider as set forth in this Agreement.

SCOPE OF WORK

Service Provider will perform the services described below. Deliverables, milestones, acceptance criteria, and responsibilities are to be set forth in the Scope of Work. Any material change in scope must be documented in a written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider for services rendered in accordance with the following terms. All fees are exclusive of taxes unless otherwise stated.

Late payments shall accrue interest and fees as follows: a late fee of % per month (or the maximum allowed by law) on amounts more than days overdue. Service Provider reserves the right to suspend performance for overdue invoices after written notice.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues through the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to termination. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other. "Confidential Information" includes non-public business, technical, financial, or strategic information disclosed in connection with this Agreement. The receiving party shall (i) use Confidential Information only to perform its obligations under this Agreement, (ii) take reasonable measures to protect Confidential Information from unauthorized disclosure, and (iii) not disclose Confidential Information to third parties except to its employees, contractors, or advisors who have a need to know and are bound to protect such information. Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, is independently developed without use of the disclosing party's Confidential Information, or is required to be disclosed by law or court order (provided the disclosing party is given prompt notice and opportunity to seek protective relief).

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral. No amendment to this Agreement will be effective unless in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. Sections that by their nature should survive termination or expiration of this Agreement, including but not limited to Confidentiality, Payment, Governing Law, and Entire Agreement, shall survive.
