BUSINESS RISER DOCUMENT

This Business Riser Document (the "Agreement") is entered into as of Effective Date: by and between Provider (Party A): with principal place of business at and Client (Party B): with principal place of business at .

RECITALS

WHEREAS, Provider possesses specialized experience and resources to deliver business acceleration, advisory and implementation services intended to increase revenue and operational scale (the "Services"); and

WHEREAS, Client desires to engage Provider to perform the Services described herein for the purpose of raising new market presence, capital readiness, or operational capacity, and Provider agrees to provide such Services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other material provisions governing the relationship between the parties.

SCOPE OF WORK

PAYMENT TERMS

Late payments shall accrue interest at the lesser of the rate indicated below or the maximum rate permitted by law. Late fee: % per month, and/or a fixed charge of for each payment past due by more than days.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall expire on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Provider may also terminate immediately for nonpayment by Client. Upon termination, Client shall pay Provider for Services performed and expenses incurred through the effective date of termination.

Provider or Client may terminate this Agreement for convenience upon providing the notice period specified above; termination for convenience shall not relieve Client of payment for Services performed through the effective date of termination, nor obligate Provider to refund fees for services fully performed.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform under this Agreement. "Confidential Information" includes non-public business, technical, financial, customer, and strategic information disclosed in any form. Confidentiality obligations survive for a period of years following termination or expiration of this Agreement.

Exceptions: Confidential Information does not include information that is (i) publicly known through no fault of the Receiving Party; (ii) rightfully received from a third party without breach of obligation; or (iii) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. Receiving Party may disclose Confidential Information to its employees, agents or subcontractors on a need-to-know basis provided such persons are bound by confidentiality obligations at least as protective as those herein.

The parties acknowledge that breach of confidentiality may cause irreparable harm entitling the Disclosing Party to injunctive relief in addition to any other remedies at law or equity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising out of this Agreement, subject to any equitable remedies reserved herein.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, proposals, negotiations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
