RECITALS

WHEREAS, Client desires to retain Provider to perform certain business research, knowledge exchange and related services to support Client’s business development activities; and

WHEREAS, Provider has the expertise, staff, and technical capability to provide the services described in this Agreement and is willing to perform such services on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described above in a professional manner consistent with industry standards and shall assign personnel who possess the requisite skill and experience. Any material change to the scope of work shall be memorialized in a written amendment signed by both parties.

PAYMENT TERMS

Invoices shall be submitted by Provider in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within days of receipt. All payments shall be made in United States dollars.

Late payments shall incur interest at a rate of on the outstanding balance, calculated monthly from the due date until paid in full. Client shall also reimburse Provider for reasonable collection costs incurred in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public, proprietary or confidential information disclosed by one party to the other, whether in written, oral or electronic form, including business plans, financial information, technical data, know-how, trade secrets, customer lists and marketing strategies.

The receiving party shall (i) hold Confidential Information in strict confidence and take reasonable precautions to protect it; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those set forth herein. The foregoing shall not apply to information that: (a) is or becomes publicly available through no breach of this Agreement by the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Independent Contractor: Provider is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency or employer-employee relationship between the parties.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
