BUSINESS ROC EXTENSION ADDENDUM

This Business ROC Extension Addendum ("Addendum") is made effective as of by and between:

WHEREAS

1. The Company and the Service Provider entered into a Business ROC Services Agreement titled dated (the "Agreement").

2. The parties desire to extend the term and certain obligations under the Agreement with respect to the ROC filing, maintenance or compliance identified by reference number .

3. This Addendum memorializes the agreed extension, payment adjustments, and related procedural requirements without otherwise modifying the Agreement except as expressly set forth herein.

SCOPE OF EXTENSION

The parties agree that the obligations described in the Agreement that pertain to the ROC matter identified above shall be extended under the following terms.

CONFIDENTIALITY

Each party acknowledges that, in the course of performing obligations under this Addendum, it may obtain Confidential Information of the other party. "Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (a) use Confidential Information only to perform its obligations under this Addendum, (b) not disclose Confidential Information to any third party except to its employees, representatives, or contractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of this Addendum.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Addendum without the prior written consent of the other party, except that the Service Provider may assign to an affiliate or successor in interest provided the assignee assumes all obligations hereunder.

Amendments: This Addendum may be amended only by a written instrument signed by both parties. No course of dealing, usage of trade, or failure to enforce any provision shall constitute an amendment.

ENTIRE AGREEMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Except as expressly modified by this Addendum, all terms and provisions of the Agreement remain in full force and effect. In the event of any conflict between the Agreement and this Addendum, the terms of this Addendum shall control solely to the extent of such conflict.
