BUSINESS ROCKWORTH AGREEMENT

This Business Rockworth Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (Client) and Service Provider Name: (Provider). Client and Provider are each a Party and collectively the Parties.

RECITALS

WHEREAS, Client desires to retain Provider to perform certain business consulting, development, and advisory services related to Client’s operations and strategic initiatives; and

WHEREAS, Provider has represented that it possesses the necessary experience, personnel, and resources to perform the services described in this Agreement; and

WHEREAS, the Parties wish to set forth the terms and conditions under which Provider will perform the services and Client will compensate Provider.

SCOPE OF WORK

Provider shall perform the services and deliverables described below in accordance with the standards of the industry and the schedule agreed by the Parties.

PAYMENT TERMS

Client shall pay Provider for the services described in this Agreement in accordance with the terms set forth below. Fees payable under this Agreement do not include applicable taxes unless otherwise stated.

Late payments shall bear interest as specified below and Client shall be responsible for all reasonable collection costs.

Provider shall be reimbursed for pre-approved, reasonable out-of-pocket expenses directly incurred in connection with the performance of the Services. Specify expense approval threshold and procedure in the Scope of Work.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon providing written notice to the other Party not less than days prior to the intended termination date.

Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Upon termination, Client will pay Provider for all Services performed and approved expenses incurred through the termination date.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by a Party (Disclosing Party) to the other Party (Receiving Party), whether oral or written, that is designated as confidential or that, given the nature of the information, reasonably should be understood to be confidential. Confidential Information includes, but is not limited to, business plans, financial information, client lists, trade secrets, software, methodologies, and technical data.

The Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information shall not include information that: (i) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives prompt written notice and cooperates with any reasonable protective measures.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If unresolved within thirty (30) days, disputes may be resolved by binding arbitration or in courts of competent jurisdiction as chosen by the Parties in writing.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any exhibits and attachments referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both Parties.

Neither Party may assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other Party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all its assets. Any purported assignment in violation of this section shall be null and void.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, courier, or certified mail. Electronic delivery by email is permitted if acknowledged by the receiving Party in writing.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has the full corporate power and authority to enter into and perform its obligations under this Agreement; (b) this Agreement has been duly authorized and constitutes a valid and binding obligation; and (c) performance of this Agreement will not violate any applicable law or agreement.

LIMITATION OF LIABILITY

Except for liability arising from a Party’s gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither Party shall be liable to the other for consequential, incidental, special, or punitive damages. The Parties’ aggregate liability for claims arising out of this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.
