BUSINESS ROI DATA

This Business ROI Data Agreement (the Agreement) is made and entered into as of (Effective Date), by and between Client Name: and Service Provider Name: .

WHEREAS, Client requires analysis, measurement and reporting of financial and operational returns attributable to a defined project or initiative (the Project); and

WHEREAS, Service Provider has the expertise, tools and methodologies to collect data, prepare calculations and deliver documented ROI findings and recommendations; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the services described in this Agreement.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breach remains uncured for a period of days after written notice of the breach.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other party. Confidential Information means non-public business, financial or technical information disclosed in any form. Each party shall (i) use Confidential Information solely for the performance and enforcement of this Agreement; (ii) limit disclosure to employees, contractors and advisors who have a need to know and are bound to protect confidentiality to at least the same standard; and (iii) take reasonable measures to prevent unauthorized use or disclosure. Confidential Information does not include information that is or becomes generally known through no wrongful act of the receiving party, or that is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement of the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and representations, whether written or oral. Any amendment or waiver must be in writing executed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the other party's prior written consent, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes all obligations hereunder. The parties agree that monetary damages may be inadequate to remedy a breach of confidentiality and that equitable relief may be sought in addition to other remedies.
