Recitals

THIS AGREEMENT is made effective as of between Provider Name: and Client Name: .

WHEREAS, Provider has experience and expertise in financial analysis, performance measurement, and quantification of return on investment for business initiatives; and

WHEREAS, Client desires Provider to analyze certain project metrics and prepare a formal ROI assessment and related deliverables as described below, and Provider is willing to provide such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that the results and projections produced under this Agreement will be used by Client for internal decision-making and that Provider's work is governed by the representations, limitations, and payment terms contained herein.

Sensitivity analysis will consider variations in core assumptions. Provider will identify material assumption drivers and produce one sensitivity scenario absent additional fees where possible.

Payment Terms

Client shall pay Provider the fees set forth below in exchange for the services and deliverables described in Scope of Work. All fees are non-refundable except as expressly provided in this Agreement.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breach remains uncured for 30 days following written notice of such breach.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business or technical information disclosed in any form that is designated as confidential or which a reasonable person would deem confidential under the circumstances.

The recipient shall (a) maintain the disclosing party's Confidential Information in strict confidence, (b) use it solely to perform its obligations under this Agreement, and (c) not disclose it to third parties except to employees, contractors, or advisors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein. Exceptions include information already known to recipient, publicly available information without breach, or information required to be disclosed by law, provided recipient gives prompt notice to the disclosing party to allow contesting the disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for disputes shall be the state or federal courts located in that state, unless the parties otherwise agree in writing.

Entire Agreement

This Agreement, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Representations & Certifications

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Client certifies that the financial inputs provided to Provider are, to the best of Client's knowledge, accurate and complete. Provider's projections are estimates based on those inputs and reasonable methodologies; actual results may vary.

Provider will exercise commercially reasonable skill and care in performing services but does not guarantee specific financial results. Client acknowledges that Provider is not providing accounting, tax, or legal advice unless separately agreed in writing.
