CONFIDENTIALITY

Both parties agree that Confidential Information disclosed in connection with this Report shall be kept strictly confidential and shall not be disclosed to third parties except as required by law or with the disclosing party's prior written consent. Confidential Information excludes information that is publicly known through no wrongful act, independently developed by the receiving party without use of the disclosing party's Confidential Information, or rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement and any dispute arising out of or relating to the Report shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

LIMITATION OF LIABILITY

The Service Provider's liability for any claim arising from or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid to the Provider under this Agreement. In no event shall either party be liable for consequential, incidental, special, punitive, or exemplary damages, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.

ENTIRE AGREEMENT

This document, together with any attachments and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, written or oral, of the parties. Any amendment must be in writing and signed by both parties.
