Either party may terminate this Agreement for material breach that remains uncured for the notice period above. Termination for convenience by either party requires written notice and payment for work performed through the effective termination date.

Confidentiality

Each party shall maintain as confidential all nonpublic information disclosed by the other party in connection with this Agreement, including financial models, proprietary processes, and customer information. Confidential information shall not be used except for performance of this Agreement and shall not be disclosed to third parties without prior written consent.

The obligations in this section shall survive termination or expiration of this Agreement for the period specified above, except as otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified above, without regard to conflicts of law principles, and the parties submit to the exclusive jurisdiction of the state and federal courts located therein for disputes arising under this Agreement.

Representations and Warranties

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Consultant represents that services will be provided in a professional manner consistent with industry standards, but does not warrant specific financial results except as expressly set forth in a separate performance addendum.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of Consultant for any claim arising out of this Agreement shall not exceed the total fees paid by Client under this Agreement.

Entire Agreement

This Agreement, including all schedules and appendices executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
