This Business Services Agreement (the "Agreement") is entered into as of between:

Recitals

WHEREAS, Client seeks to obtain certain business services and documentation facilitation, including the electronic execution and remote online notarization of corporate and commercial instruments; and

WHEREAS, Service Provider possesses the necessary expertise, technology, and lawful authority to provide remote online notarization facilitation, electronic signature services, and related business support; and

WHEREAS, the parties desire to set forth the terms and conditions upon which Service Provider will perform services and Client will compensate Service Provider.

Scope of Work

Service Provider shall perform the services described above (the "Services") in a professional and workmanlike manner consistent with industry standards. The Services include, without limitation, preparation of documents, facilitation of electronic signatures, coordination of Remote Online Notarization (RONS) events, identity verification, and secure delivery of executed instruments.

Remote Online Notarization Authorization

Client and Service Provider each acknowledge and agree that execution of certain instruments may be completed through remote online notarization technologies. By checking the consent below, the party authorizes the use of electronic signatures, electronic records, and RONS procedures to the extent permitted by applicable law and agrees that such electronic execution shall have the same legal effect as handwritten signatures.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the Services. All payments are due pursuant to the schedule below and are exclusive of taxes unless otherwise stated.

Service Provider shall invoice Client in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client must pay each undisputed invoice within thirty (30) days of receipt. Any undisputed amount not paid when due shall accrue interest at the rate set forth in the Late Fee field above and Service Provider may suspend performance upon ten (10) days' written notice for nonpayment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least the number of days specified in the Notice Period field. Either party may terminate for material breach if the other party fails to cure the breach within thirty (30) days after receipt of written notice describing the breach with reasonable particularity. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that, given the nature of the information or circumstances of disclosure, reasonably should be understood to be confidential. Each party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that is or becomes generally known to the public through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information. Upon termination, the receiving party shall return or destroy Confidential Information as directed by the disclosing party.

Representations; Indemnity

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider will perform the Services in compliance with all applicable laws and regulations. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflicts of law principles. The parties agree that the state and federal courts located within that state shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any exhibits, attachments, and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

Notices

Notices under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, or sent by overnight courier to the addresses set forth above or to such other address as either party may designate in writing.
