BUSINESS ROP DOCUMENT

This Business ROP Document (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Provider Name: .

WHEREAS

1. Whereas Client desires to obtain certain business rights, rights of performance, operational permissions and related deliverables described herein (the "ROP Rights") from Provider in connection with Client's business operations; and

2. Whereas Provider has the capability and agrees to perform the work and grant the ROP Rights on the terms set forth in this Agreement; and

3. Whereas the parties desire to set forth the scope, payment, term, confidentiality and other terms governing the relationship between them.

SCOPE OF WORK

Provider will perform the services and deliverables described below. Deliverables shall include all materials, documentation, and any rights transferred to Client as described in this Agreement.

PAYMENT TERMS

Client shall pay Provider for services and ROP Rights in accordance with the terms set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Invoices submitted by Provider are due according to the Payment Schedule. Client must notify Provider in writing of any disputed charges within ten (10) business days of receipt of an invoice; undisputed amounts remain due and payable. Late payments shall accrue the Late Fee specified above and Provider may suspend performance for nonpayment after providing five (5) business days' written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience on provision of the Notice Period specified above. Either party may terminate immediately for material breach if the breaching party fails to cure within fifteen (15) days of written notice of breach, or immediately for insolvency, bankruptcy filing, or other similar events. Termination does not relieve Client of obligations to pay amounts accrued through the effective date of termination, including reasonable costs incurred by Provider in winding down performance.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence all proprietary and confidential information disclosed by the other party (the "Discloser") in connection with this Agreement and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential information does not include information that: (a) is or becomes public other than by breach of this Agreement; (b) was lawfully known to Recipient prior to disclosure; or (c) is independently developed by Recipient without use of Discloser's confidential information.

Recipient shall take reasonable measures to protect the confidentiality of Discloser's information and shall return or destroy such information upon Discloser's written request, except to the extent retention is required by law, in which case Recipient shall notify Discloser and maintain confidentiality to the fullest extent permitted.

INTELLECTUAL PROPERTY AND ROP RIGHTS

Unless otherwise expressly agreed in writing, Provider retains all intellectual property rights in Provider's pre-existing materials, methodologies and tools. Provider grants to Client a non-exclusive, non-transferable license to use any deliverables and ROP Rights granted hereunder for Client's internal business purposes as specified in the Scope of Work, subject to payment in full and compliance with this Agreement. Any transfer or assignment of ROP Rights beyond the license set forth herein requires a separate written instrument signed by both parties.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) month period preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments referenced herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand, overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.
