This General Business Agreement (the "Agreement") is entered into as of Effective Date: by and between:

Recitals

WHEREAS, Client desires to obtain certain business services from Service Provider as described herein; and

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform the services described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions governing the provision and payment of such services.

Service Provider shall perform the services and deliverables described below. The parties acknowledge that the Scope of Work may include related tasks reasonably necessary to accomplish the stated deliverables.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any obligation and fails to cure such breach within Notice Period: days after receipt of notice.

Upon termination, Service Provider shall deliver all completed work and Client shall pay for all work performed through the effective date of termination, together with any unpaid expenses and reasonably incurred wind-down costs.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees (a) to hold Confidential Information in strict confidence, (b) not to disclose Confidential Information to any third parties except as necessary to perform under this Agreement, and (c) to use Confidential Information only to exercise rights and perform obligations under this Agreement. The receiving party shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement, (ii) was already rightfully known to the receiving party prior to disclosure, (iii) is lawfully obtained from a third party without restriction, or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Warranties; Limitation of Liability

Service Provider warrants that the services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. Except as expressly provided in this Agreement, Service Provider disclaims all other warranties, express or implied.

Except for liability arising from breach of confidentiality or willful misconduct, each party's aggregate liability under this Agreement shall not exceed the total amounts paid or payable to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: without regard to its conflict of laws principles.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications. No amendment, modification or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect and the parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid and enforceable provision that achieves, to the extent possible, the original economic, legal and commercial intent.
