BUSINESS ROUTER ACCESS POINT AGREEMENT

This Business Router Access Point Agreement ("Agreement") is made and entered into as of by and between Provider Name: and Client Name: .

RECITALS

WHEREAS, Provider is engaged in the business of provisioning network equipment, configuration and managed access services, and possesses the technical expertise to install and configure router and access point equipment for business environments;

WHEREAS, Client operates business premises located at and desires Provider to install, configure, and maintain router(s) and access point(s) described in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to equipment, access credentials, support, payments and confidentiality.

SCOPE OF WORK

Provider will supply, install, configure and commission router(s) and access point(s) (collectively, "Equipment") and provide initial testing and acceptance. Provider's services include hardware setup, firmware baseline configuration, SSID and VLAN provisioning as specified in the Scope of Work, and handover of administrative credentials as set forth below.

EQUIPMENT AND ACCESS DETAILS

Administrative credentials will be delivered to Client upon completion of installation and acceptance, except where remote management credentials are retained by Provider solely for support purposes with Client's prior written consent. Credential handover date:

INSTALLATION, ACCEPTANCE, AND MAINTENANCE

Provider shall perform installation and initial configuration in accordance with the Scope of Work. Acceptance testing will be conducted at completion; acceptance criteria include basic connectivity, SSID visibility, and configured VLAN segregation. Provider will remedy any defects discovered during a 10-day acceptance period at no additional cost.

PAYMENT TERMS

Late payments shall accrue interest at of the overdue balance per month, or the maximum rate permitted by law, whichever is less. Client shall also be responsible for reasonable collection costs.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for days following written notice. Either party may terminate without cause upon days' prior written notice. Upon termination, Client shall pay for all Services performed and Equipment provided up to the effective date of termination.

CONFIDENTIALITY

Each party shall hold in strict confidence all non-public, proprietary or business information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information includes network topology, credentials, security configuration, firmware and system architecture. Confidential Information does not include information that (i) is or becomes public through no fault of the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information. The receiving party shall use Confidential Information only for performance of this Agreement and shall restrict access to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

SECURITY, COMPLIANCE AND CHANGE MANAGEMENT

Provider will apply security best practices including, where applicable, unique administrative credentials, encrypted management channels, recommended firmware updates and access logging. Provider shall notify Client of proposed configuration changes and apply changes only after Client's approval except where emergency remediation is required to protect the network. Emergency changes shall be documented and provided to Client within 48 hours of remediation.

RECORDS, LOGS AND RETENTION

Provider will retain access logs and configuration change history for a minimum of unless otherwise agreed. Client may request copies of logs; Provider will make reasonable efforts to provide such copies subject to applicable law and redaction for third-party personal data.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of data, or business interruption. Provider's aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the claim. Client shall indemnify and hold Provider harmless from third-party claims arising from Client's misuse of credentials or unauthorized configuration changes performed by third parties.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state identified for governing_law: without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve disputes through negotiation prior to pursuing formal legal remedies.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement will be effective except in a writing signed by authorized representatives of both parties.
