Recitals

WHEREAS, Client requests that Provider perform business RPS services consisting of revenue processing, reporting, reconciliation and related operational support, and Provider represents that it has the experience, personnel and systems necessary to perform such services in accordance with the terms of this Agreement.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision of such services and to memorialize the commercial terms, confidentiality obligations and governing law for the engagement.

Scope of Work

Provider will perform the services described below pursuant to the specifications and standards set forth in this Agreement. Provider shall perform services in a professional manner consistent with industry standards and applicable laws.

Payment Terms

Client shall pay Provider for services performed as follows. Unless otherwise agreed in writing, fees are exclusive of taxes which shall be the responsibility of the party required by law to pay such taxes.

Term and Termination

The term of this Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach if such breach is not cured within 30 days after written notice specifying the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except to employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement.

Confidential information does not include information that is: (i) publicly available without breach of this Agreement; (ii) rightfully obtained by the receiving party from a third party without restriction; or (iii) independently developed by the receiving party. Remedies at law may be inadequate for breach; the disclosing party is entitled to seek injunctive relief in addition to any other remedies.

Representations; Compliance

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and performance will not violate any applicable law, and that it will comply with all applicable laws, rules and regulations in performing its obligations. Provider further represents that it will perform services in accordance with applicable professional standards and the specifications set forth in this Agreement.

Indemnification and Limitation of Liability

Each party shall defend, indemnify and hold harmless the other party from and against third-party claims arising from its gross negligence or willful misconduct in connection with this Agreement. Except for liability arising from willful misconduct, breach of confidentiality or indemnification obligations, neither party shall be liable for consequential, incidental, special or punitive damages, and aggregate liability shall be limited to the total fees paid under this Agreement in the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation; if unresolved within 30 days, disputes shall be resolved in the state or federal courts located in the chosen jurisdiction.

Entire Agreement; Amendments

This Agreement, including any attachments and statements of work executed under it, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice. Notices are effective upon receipt.
