Scope of Work

The Contractor shall perform the tasks and deliverables described below. The Contractor agrees to furnish all labor, materials, equipment and supervision necessary to complete the work in accordance with the specifications set forth by the Client and in compliance with applicable law.

Invoices will be submitted in accordance with the Payment Schedule and are payable within days of receipt unless otherwise specified in writing. Late payments shall accrue interest at the lesser of the rate of or the maximum rate permitted by law.

Either party may terminate this Agreement for convenience upon delivery of written notice to the other party at least days prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice detailing the breach; provided that monetary payment failures shall be cured within fifteen (15) days.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other in any form that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information expressly includes proprietary business information, pricing, trade secrets, technical data, specifications, customer lists and deliverables produced under this Agreement.

The receiving party shall (i) protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (ii) not use Confidential Information for any purpose other than performance of this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein. The obligations in this clause shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflict of laws principles. The parties submit to the exclusive venue of the courts located within that jurisdiction for resolution of disputes arising under this Agreement.

Representations; Compliance

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. The Contractor represents that all work will be performed in a professional manner and in compliance with all applicable laws, rules and regulations.

Entire Agreement

This Agreement, together with any attachments, exhibits and statements of work executed hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice. Notice is effective upon personal delivery, three (3) days after deposit with a nationally recognized overnight courier, or five (5) days after deposit in the U.S. mail, certified mail, return receipt requested.
