TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless terminated earlier in accordance with this Agreement.

CONFIDENTIALITY

Each party shall maintain in strict confidence all proprietary and confidential information disclosed by the other party and shall not use such information except for the performance of obligations under this Agreement. Confidential information excludes information that is publicly available without breach of this Agreement or rightfully obtained from a third party.

INDEMNIFICATION

Each party shall defend, indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and costs arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Exclusive jurisdiction for disputes shall lie in the state or federal courts located within that state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, courier, or certified mail to the addresses set forth below or to such other address as either party designates in writing.
