Business RRP Agreement

WHEREAS

WHEREAS, Client engages Provider to perform specified repair, replacement and remediation activities described herein in connection with the Client's business operations; and

WHEREAS, Provider possesses the necessary skills, personnel, equipment and authorizations to perform the work described; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform the RRP services and Client will compensate Provider.

Scope of Work

Provider will perform the RRP services as described below. The scope includes identification of required repairs, procurement of replacement parts, performance of remediation and testing where applicable, and completion of final documentation and reporting.

Payment Terms

Client shall pay Provider for the Services in accordance with the following terms:

Unless otherwise stated in the payment schedule, invoices are due Net 30 days from receipt. Past due amounts shall accrue interest at the rate of % per month, or the maximum permitted by law, whichever is less. Client shall also reimburse Provider for reasonable collection costs, including attorney fees.

Term and Termination

Term: This Agreement shall commence on Start Date: and expire on End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party if the breach remains uncured for a period of 15 days after written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for Services performed and costs incurred through the effective date of termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, including business operations, technical data, pricing, and proprietary processes related to the RRP services. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) use Confidential Information only to perform its obligations under this Agreement.

Confidential Information does not include information that is (i) already in the public domain other than by breach of this Agreement, (ii) rightfully known by the receiving party prior to disclosure, or (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information. Obligations of confidentiality survive termination for a period of three (3) years, or longer if required for trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Entire Agreement; Miscellaneous

This Agreement, together with any attached schedules and exhibits, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to a successor entity in connection with a merger or sale of substantially all of Provider's assets. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree to cooperate in good faith to effectuate the purposes of this Agreement.

Insurance and Indemnification

Provider shall maintain commercial general liability and other insurance appropriate to the services performed. Provider shall indemnify and hold harmless Client from and against claims, liabilities, losses, and expenses (including reasonable attorney fees) arising out of Provider's negligent acts or omissions in the performance of the Services, except to the extent caused by Client's negligence or willful misconduct.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice is effective upon personal delivery, three (3) days after deposit in the U.S. mail, or one (1) day after deposit with a nationally recognized overnight courier.
