BUSINESS RSG DOCUMENT

This Business RSG Document (the "Agreement") is entered into and effective as of by and between:

WHEREAS

WHEREAS, Party A is engaged in the business of providing certain resources, services, or programs identified collectively as "RSG Services" and possesses expertise, personnel, systems and intellectual property relevant to the delivery and management of such services; and

WHEREAS, Party B desires to obtain and Party A agrees to provide RSG Services on the terms and conditions set forth herein to implement a cooperative business arrangement, including but not limited to revenue sharing, service delivery obligations, and related operational collaboration; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

1.1 Services: Party A shall perform the RSG Services described below and any ancillary tasks reasonably necessary to accomplish the described objectives.

1.2 Change Orders: Any material change to the Scope of Work shall require a written change order signed by authorized representatives of both parties, specifying the change, any impact on fees or schedule, and an agreed effective date.

PAYMENT TERMS

2.1 Compensation: In consideration of the Services, Party B shall pay Party A the sums set forth below in United States dollars.

2.2 Invoicing: Party A shall submit invoices in accordance with the Payment Schedule. Unless otherwise agreed in writing, payments are due within days of receipt of an undisputed invoice.

2.3 Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum statutory rate, plus reasonable costs of collection including attorneys' fees. Parties may also agree to suspend Services for overdue accounts after providing ten (10) days' written notice.

TERM AND TERMINATION

3.1 Term: This Agreement shall commence on the Start Date and, unless earlier terminated in accordance with this Agreement, shall continue until the End Date.

3.2 Termination for Convenience: Either party may terminate this Agreement for any reason upon providing not less than days' prior written notice to the other party.

3.3 Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach; provided that material non-payment may be cured within ten (10) days.

3.4 Effect of Termination: Upon termination, Party B shall pay Party A for Services performed through the effective date of termination and any non-cancellable obligations incurred on behalf of Party B. Sections that by their nature survive termination shall survive.

CONFIDENTIALITY

4.1 Definition: "Confidential Information" means all non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including technical and business information, pricing, customer lists, and trade secrets.

4.2 Obligations: Each recipient shall (a) use Confidential Information only for performance of this Agreement; (b) restrict disclosure to employees or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure.

4.3 Exclusions and Required Disclosure: Confidential Information does not include information that is or becomes generally known through no breach by the recipient, independently developed by the recipient without reference to the discloser's Confidential Information, or rightfully obtained from a third party. If a recipient is compelled by law to disclose Confidential Information, it shall provide prompt written notice to the discloser and cooperate to seek protective measures.

GOVERNING LAW; DISPUTE RESOLUTION

5.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

5.2 Dispute Resolution: The parties shall attempt in good faith to resolve any controversy or claim arising out of or relating to this Agreement promptly by negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue any remedies available under law or equity in the courts of the governing jurisdiction.

ENTIRE AGREEMENT; MISCELLANEOUS

6.1 Entire Agreement: This Agreement, including all attachments and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral.

6.2 Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee assumes all obligations under this Agreement.

6.3 Notices: All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify in writing, and shall be deemed given when delivered personally, by courier, or by certified mail, return receipt requested.

6.4 Severability: If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in full force and effect and shall be interpreted so as to best effect the parties' intent.

REPRESENTATIONS; INDEMNITY

7.1 Each party represents and warrants that it has the full corporate power and authority to enter into and perform its obligations under this Agreement and that execution of this Agreement has been duly authorized.

7.2 Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, or expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to any limitations agreed in writing.
