This Business RSH Document ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Service Provider to perform professional services and deliverables described in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the necessary skills, personnel and resources to perform the required services in a professional and workmanlike manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will perform such services and Client will compensate Service Provider.

Scope of Work

Service Provider shall perform the services and deliver the work product as described below. The description shall include specific tasks, deliverables, acceptance criteria and milestones.

Payment Terms

Client shall pay Service Provider the fees and expenses described below in consideration for the performance of the Scope of Work.

Late payments shall accrue interest at the rate specified below, calculated monthly on the outstanding principal balance. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred to enforce payment.

Term and Termination

The term of this Agreement shall commence on and shall continue until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following receipt of written notice specifying the nature of the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth in this Agreement.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly known other than by breach of this Agreement; (ii) is lawfully received from a third party without restriction; (iii) was known to the receiving party prior to disclosure; or (iv) is independently developed without use of Confidential Information. If a party is compelled by law to disclose Confidential Information, it shall provide prompt written notice so the disclosing party may seek protective relief.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any dispute shall be in the courts located in that state unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, including all attachments and referenced exhibits if any, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and performance of this Agreement will not violate any other agreement to which it is a party.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.
