BUSINESS RUBBER DOCUMENT

This Business Rubber Document (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Party A is engaged in the manufacture, supply, or distribution of rubber goods, components, molds, or related services and possesses the technical capability and facilities to perform the services described in this Agreement; and

WHEREAS, Party B desires to procure from Party A certain rubber products or services described herein, and Party A is willing to provide such products or services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to govern their respective rights and obligations with respect to the supply, acceptance, payment, and confidentiality of materials, specifications, tooling, and related information exchanged in connection with the production of rubber items.

SCOPE OF WORK

Party A shall perform the services and deliver the goods as described below. Deliverables include manufacture, quality inspection, packaging, and delivery in accordance with agreed specifications and tolerances. Any change to specifications shall require written approval and may trigger adjustments to cost or schedule.

PAYMENT TERMS

Contract Price: The total price payable by Party B to Party A for the work described in this Agreement shall be (USD), exclusive of applicable taxes, unless otherwise stated in writing.

Invoicing: Party A will submit invoices in accordance with the payment schedule. Unless otherwise agreed in writing, payment is due within days of invoice receipt. Overdue amounts shall bear interest at the rate of per month, or the maximum rate permitted by law, whichever is lower.

TERM AND TERMINATION

Term: This Agreement shall commence on the Start Date of and shall continue in effect until the End Date of unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination shall not relieve Party B of its obligation to pay for work completed and delivered prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach if the other party fails to cure a material breach within 15 days after receipt of written notice specifying the breach, provided that such breach is susceptible to cure.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any proprietary or confidential information of the other party (the "Disclosing Party") disclosed in connection with this Agreement, including technical specifications, drawings, tooling data, process information, pricing, and customer lists ("Confidential Information"), except as required for performance of this Agreement or as required by law.

The obligations in this section shall not apply to information that: (a) is or becomes publicly available through no breach of this Agreement by the Receiving Party; (b) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (c) is rightfully received from a third party without restriction and without breach of any obligation of confidentiality.

Duration: Confidentiality obligations shall remain in effect for years following termination or expiration of this Agreement, except with respect to trade secrets, where obligations shall continue for as long as such information qualifies as a trade secret under applicable law.

DELIVERY, INSPECTION AND ACCEPTANCE

Delivery terms, packaging requirements, and acceptance testing shall be as set forth in the Detailed Scope of Work. Party B shall inspect delivered items within a commercially reasonable time and shall provide written notice of any nonconformity. Party A shall, at its option, repair or replace nonconforming goods or credit Party B for nonconforming quantities, provided that Party B has given prompt written notice of nonconformity and made the goods available for inspection.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to rules governing conflicts of law. The parties agree that any dispute arising under this Agreement will be resolved in the state or federal courts located in the chosen state, and each party consents to the exclusive jurisdiction of such courts.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality or intellectual property rights, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, and aggregate liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total amounts paid or payable under this Agreement in the 12 months preceding the claim.

ENTIRE AGREEMENT

This Agreement, together with any attachments, schedules, and referenced purchase orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice. Notices shall be deemed given when delivered personally, by certified mail (return receipt requested), or by recognized overnight courier.

MISCELLANEOUS

Severability: If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach. The parties are independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship.
