This Business Rule Template Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

Whereas

WHEREAS, Client engages Service Provider to design, document, and implement business rules that govern specific operational, transactional, or system behaviors described herein; and

WHEREAS, Service Provider has the requisite expertise and resources to prepare detailed, enforceable business rules, source-of-truth documentation, and change-control procedures that align with Client's business objectives; and

WHEREAS, the parties wish to set forth the scope, payment terms, confidentiality obligations, and other material terms applicable to the creation and delivery of the business rules.

Scope of Work

Service Provider shall perform the tasks described below and deliver the corresponding documented business rules, flow diagrams, acceptance criteria, and change-control procedures as defined in this Section.

Business Rules (Representative)

The parties agree that the final deliverable shall enumerate each business rule in a numbered format including: rule identifier, trigger condition, logic expression, inputs/outputs, priority/conflict resolution, and audit logging requirement.

Payment Terms

Client shall pay Service Provider the compensation set forth below in exchange for the performance of the Scope of Work. All amounts are in U.S. dollars unless otherwise stated.

In the event of late payment, Service Provider may suspend work after ten (10) days' written notice and shall be entitled to recover reasonable costs of collection, including attorneys' fees. Payment obligations survive termination to the extent they relate to work performed through the effective date of termination.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Termination for convenience by either party requires prior written notice as set forth above. Termination for material breach shall be effective immediately upon written notice if the breach remains uncured thirty (30) days after notice.

Confidentiality

"Confidential Information" means non-public business, technical, financial, and other proprietary information disclosed by either party in connection with this Agreement. Each party shall: (a) hold Confidential Information in strict confidence; (b) use such information solely to perform obligations under this Agreement; and (c) limit access to employees and contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (i) is or becomes public through no breach; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without use of the other party's Confidential Information. The obligations set forth in this Section survive for three (3) years after termination of this Agreement. Remedies at law may be inadequate for breach; the non-breaching party is entitled to injunctive relief in addition to other remedies.

Change Control and Amendments

Any additions or modifications to the business rules or Scope of Work shall be documented in a written change order executed by authorized representatives of both parties. Change orders shall specify the change, impact on deliverables, schedule, and any adjustment to compensation.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Any dispute arising under or relating to this Agreement shall be resolved by the dispute resolution process mutually agreed herein:

Representations and Warranties

Each party represents and warrants that it has the full right, power, and authority to enter into and perform its obligations under this Agreement. Service Provider warrants that the deliverables will conform in all material respects to the specifications set forth in the Scope of Work for a period of ninety (90) days following delivery; Service Provider's sole obligation under this warranty shall be to correct nonconforming deliverables at no additional cost.

Limitation of Liability

Except for liability arising from willful misconduct or breaches of confidentiality, neither party shall be liable for indirect, incidental, special, or consequential damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

Entire Agreement

This Agreement, including all attachments and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information below by personal delivery, certified mail, or overnight courier, and shall be deemed given upon receipt.
