This Business Rules Template (the "Agreement") is entered into by and between with a principal place of business at (hereinafter "Party A"), and with a principal place of business at (hereinafter "Party B").

WHEREAS, Party A and Party B desire to set forth the business rules, responsibilities and commercial terms under which Party A will provide specified services and Party B will accept and pay for such services; and

WHEREAS, the parties intend for the rules set forth in this Agreement to govern operational workflow, decision authority, data handling, and payment mechanics between the parties in relation to the Scope of Work described below.

Party A will perform the services and adopt the business rules described below. The description must identify deliverables, acceptance criteria, responsibilities, and any dependencies on Party B.

Payment Terms

Party B shall pay Party A in accordance with the following fees and schedule. All amounts are in U.S. dollars unless otherwise specified.

If any undisputed amount is not paid within days after the due date, Party B will pay interest at a rate of per month (or the maximum permitted by law, whichever is lower), plus reimbursement for collection costs and reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date or until terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination does not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all business, technical and financial information received from the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").

The Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose such information to any third party except to employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Required disclosures by law shall be limited and subject to prompt notice to the Disclosing Party where legally permissible.

Operational Business Rules

The parties agree to the following business rules governing operations, approvals, data exchange, and escalation procedures. These rules are mandatory and are intended to avoid disputes and ensure timely performance.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations. Each party further warrants that performance hereunder will comply with applicable laws and will not infringe third-party intellectual property rights.

Limitation of Liability

Except for breaches of confidentiality, willful misconduct, or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Aggregate liability for direct damages arising from or related to this Agreement shall not exceed the amounts actually paid under this Agreement in the twelve (12) month period preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral. Any amendment must be in a written instrument signed by authorized representatives of both parties.

All notices under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as either party designates in writing).
