What the Business Run Down Is and when it’s used

The Business Run Down is a concise operational summary that captures an organization’s current status, key contacts, financial snapshot, open obligations, and pending actions. It consolidates entity details, primary leadership, recent revenue or cash-position indicators, active contracts, outstanding deliverables, and signature lines for responsible parties. Commonly used for internal handoffs, due diligence, interim audits, and third-party information requests, the Business Run Down supports decision making and continuity planning. When signed electronically it must meet ESIGN and applicable state UETA/ESRA criteria to ensure legal enforceability and reproducibility.

Why prepare a Business Run Down

A clear Business Run Down reduces ambiguity during transitions, supports faster external reviews, and documents accountability. It creates a single record of current commitments and responsibilities and, when executed as an electronic record that meets the ESIGN Act (15 U.S.C. ch. 96) and applicable state law, produces a reproducible, court-admissible record of signatures and dates.

Practical tips for accurate and efficient completion

Follow these best practices to reduce review cycles and ensure the Business Run Down functions as a reliable source of truth.

Use consistent names
Always use the legal entity name exactly as registered. Cross-check with formation documents and tax filings to avoid identity mismatches that can delay verification.
Date formatting
Use MM/DD/YYYY consistently and include a reporting date for financial figures. Clear dating prevents confusion about which period the snapshot covers.
Attach supporting documents
Include exhibits and contract excerpts referenced in the summary. Missing attachments often trigger follow-up requests and extend processing timeframes.
Preserve audit trail
Capture a tamper-evident signed PDF and store the audit certificate alongside the record to preserve signatures, timestamps, and signer attribution for compliance.
