RECITALS

WHEREAS, Client requires certain services and deliverables concerning records, use, security, and transfer (collectively the "RUST Services"); and

WHEREAS, Provider has represented that it possesses the personnel, expertise, security controls and lawful authority to perform the RUST Services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the RUST Services and related confidential information.

SCOPE OF WORK

Provider shall perform the RUST Services described below and deliver any deliverables specified. Provider shall perform all services in a professional manner consistent with industry standards and applicable laws.

PAYMENT TERMS

Contract Price (total compensation for all Services and Deliverables):

If any amount due under this Agreement is not paid within the time specified in the invoice, such unpaid amount shall accrue a late fee as set forth below and interest.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice of the breach.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business records, data, pricing, personal data, security controls, and any copies or derivatives thereof.

The receiving party shall: (a) maintain the confidentiality of Confidential Information using at least the same degree of care it uses to protect its own confidential information but not less than reasonable care; (b) not use Confidential Information except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement.

LIMITATIONS AND REMEDIES

Except for a breach of the confidentiality obligations or willful misconduct, each party's liability for direct damages arising out of or related to this Agreement shall be limited to the total amounts paid or payable to Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim. In no event shall either party be liable for consequential, incidental, punitive or special damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets so long as the assignee assumes all obligations hereunder.

Notices shall be given in writing and delivered by hand, commercial courier, or certified mail to the addresses set forth above or to such other address as a party may designate by notice in accordance with this Section.
