This Business SAF Document (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client desires to obtain certain services and deliverables from Provider in accordance with the terms set forth herein; and

WHEREAS, Provider represents that it has the qualifications, experience and ability to perform the services described in this Agreement and agrees to perform such services under the terms and conditions set forth below; and

WHEREAS, the parties intend for this Agreement to define the scope of their business relationship, payment terms, confidentiality obligations and other material provisions governing their engagement.

1. Scope of Work

Provider shall perform the services and deliverables described below in accordance with the standards of care and professionalism applicable to similar service providers. The parties acknowledge that the description that follows is incorporated into this Agreement and may be supplemented by written change orders signed by both parties.

2. Payment Terms

In consideration for the performance of the services, Client shall pay Provider as set forth below. All fees are payable in United States dollars unless otherwise agreed in writing.

Provider shall submit invoices in accordance with the Payment Schedule. Unless disputed in good faith within ten (10) days of receipt, invoices are due within thirty (30) days of invoice date. Late payments shall accrue interest as specified above and Client shall reimburse Provider for reasonable costs of collection, including attorney fees.

3. Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered not less than days prior to the intended termination date. Either party may terminate for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Termination shall not relieve Client of the obligation to pay for services rendered and costs reasonably incurred through the effective date of termination. Upon termination Provider shall deliver work in progress and invoices for services performed through the termination date.

4. Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

The Receiving Party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely for the performance of its obligations under this Agreement, and (c) limit disclosure to employees and contractors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations under this Section shall not apply to information that: (i) is or becomes publicly known through no wrongful act of the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt notice and cooperates with reasonable steps to seek protective measures.

Confidentiality obligations set forth in this Section shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, for which obligations shall continue for as long as such information qualifies as a trade secret under applicable law.

By checking, the parties confirm that confidentiality obligations are mutual; if unchecked, confidentiality is one-way in favor of the Disclosing Party as specified above.

5. Representations and Warranties; Indemnity

Each party represents that it has full power and authority to enter into this Agreement and that its performance will not violate any applicable law or contractual obligation to a third party. Provider represents that the services will be performed in a professional and workmanlike manner consistent with industry standards.

Each party shall indemnify and hold harmless the other party from and against any third-party claims arising from the indemnifying party’s gross negligence, willful misconduct, or material breach of this Agreement, provided the indemnified party gives prompt written notice and reasonable cooperation in the defense and settlement of any such claim.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve disputes through negotiation. If unresolved within thirty (30) days, disputes may be submitted to mediation, and if still unresolved, either party may pursue any available legal or equitable remedy in a court of competent jurisdiction located in the selected state.

7. Entire Agreement; Amendment

This Agreement, together with any exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

8. Notices

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses provided above, and shall be deemed given upon receipt.

9. Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach. The parties are independent contractors and nothing in this Agreement creates an employment, partnership, joint venture or agency relationship.
