BUSINESS SAFETY REGULATIONS

Recitals

WHEREAS, Regulations Issuer: is responsible for issuing and overseeing the safety requirements described herein; and

Payment Terms

If fees are assessed for audits, inspections, training, or corrective action services provided by the Regulations Issuer or its designee, such fees will be invoiced in accordance with the terms below.

Late payments will incur a late fee of % per month on overdue balances, or a flat fee of , whichever is greater.

Term and Termination

This Agreement shall commence on Start Date: and shall remain in effect until End Date: , unless earlier terminated as provided below.

Either party may terminate this Agreement without cause by providing written notice at least days prior to the intended termination date.

Termination for cause may occur where a material breach of these Regulations is not cured within days after receipt of written notice specifying the breach. Confidentiality

All non-public information, safety audit reports, incident investigation records, and other materials designated in writing as confidential by either party shall be treated as Confidential Information. Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall lie exclusively in the courts located in the City of .

Entire Agreement

This document, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No modification shall be effective unless executed in writing and signed by authorized representatives of both parties.
