Seller represents and warrants to Buyer that, as of the date hereof and as of the Closing Date: (a) Seller has good and marketable title to the assets being sold, free and clear of liens except those disclosed in Schedule C; (b) Seller has full power and authority to enter into and perform this Agreement; (c) the financial statements delivered to Buyer fairly present the business in all material respects; (d) all material taxes relating to the business have been properly filed and any taxes due have been paid, except as disclosed.

Buyer represents and warrants to Seller that Buyer has the necessary authority and financial capability to consummate the transactions contemplated by this Agreement.

Covenants; Conduct of Business

Between the date hereof and the Closing Date, Seller shall operate the business in the ordinary course and shall not take any action that would reasonably be expected to have a material adverse effect on the business, other than actions consented to in writing by Buyer.

Indemnification and Remedies

Each party agrees to indemnify, defend and hold harmless the other party from and against any and all losses, claims, liabilities, damages and expenses (including reasonable attorneys' fees) resulting from any breach of such party's representations, warranties or covenants. The indemnifying party's liability shall be subject to any deductible, limitation, survival period or cap described in this Agreement or Schedule D.

Taxes and Employee Matters

Unless otherwise agreed, Seller shall be responsible for all taxes attributable to the period prior to Closing and Buyer shall be responsible for those attributable to periods after Closing. The parties shall cooperate in allocating the Purchase Price for tax reporting purposes.

Seller agrees that for the period of following Closing, Seller shall not engage in a competing business within , subject to any exceptions set forth in Schedule E.
