Recitals

WHEREAS, Provider: is engaged in the business of providing the services and deliverables described in this Quote; and

WHEREAS, Client: desires to obtain such services and deliverables on the terms set forth in this Quote; and

WHEREAS, the parties intend that this Quote, when accepted by Client and executed by the parties, will constitute a binding agreement for the provision of the described services under the terms below.

Scope of Work

Provider shall perform the services and deliver the work product described below. All services shall be performed in a professional and workmanlike manner consistent with industry standards.

Itemized Quote

Provide a description, quantity, unit price and line total for each quoted item or service. Line totals are the responsibility of Provider to calculate prior to acceptance.

Payment Terms

Unless otherwise agreed in writing, Client shall pay Provider the Total Amount Due in accordance with the schedule below. All amounts are payable in lawful currency. Provider reserves the right to suspend performance if invoices are not paid when due.

Late fees will accrue on past-due amounts at the stated rate or the maximum rate allowed by law, whichever is lower. Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Provider in pursuing unpaid amounts.

Term and Termination

This Quote shall become effective on the Start Date and shall continue until the End Date or until completion of the work described in the Scope of Work, unless earlier terminated in accordance with this section.

Either party may terminate this Quote for material breach if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to termination.

Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes nonpublic business, technical and financial information disclosed in any form. Each party shall (i) use Confidential Information solely for the purposes of performing under this Quote, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, and (iii) not disclose Confidential Information to third parties except to its employees, agents, or affiliates on a need-to-know basis who are bound by confidentiality obligations at least as protective as those set forth herein.

Governing Law

This Quote and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to choice of law principles.

Entire Agreement

This Quote, together with any attachments or documents expressly incorporated herein, constitutes the entire agreement between Provider and Client with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, or agreements, whether written or oral. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

Acceptance

To accept this Quote and authorize Provider to proceed, Client must sign below. Acceptance by Client binds the parties to the terms set forth herein and establishes the agreement between the parties for the work described.
