WHEREAS, Requester desires to obtain representative product samples for evaluation, testing, and internal review in connection with potential commercial purchase or distribution of such products; and

WHEREAS, Supplier manufactures or supplies the products described below and is willing to provide samples to Requester under the terms and conditions set forth in this Business Sample Request;

NOW, THEREFORE, Requester and Supplier agree as follows:

Scope of Work

Supplier shall prepare, package, and deliver the samples described in the Sample Details section below to the shipping address specified herein. Samples shall conform to the sample specifications provided by Supplier or as agreed in writing by the parties. Supplier shall label samples clearly and provide any required documentation for handling, safety, or regulatory compliance.

Shipping & Billing

Supplier will provide samples at no charge to Requester.    Requester will reimburse Supplier for sample, handling, and shipping costs as detailed below.

Payment Terms

If Requester is responsible for payment, the parties agree as follows:

Late payments shall bear interest at on the outstanding balance, calculated monthly and compounded as permitted by law.

Term and Termination

This Sample Request is effective as of Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this request for convenience upon written notice to the other party at least days prior to the intended termination date. Termination shall not relieve Requester of obligation to pay for samples delivered prior to termination.

Confidentiality

Each party acknowledges that samples, associated specifications, formulations, trade secrets, pricing, and any technical or business information exchanged in connection with this Sample Request are confidential information of the disclosing party. Receiving party shall not use such confidential information except for the evaluation purpose described herein and shall not disclose it to any third party without prior written consent of the disclosing party, except to employees, contractors, or professional advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein.

Upon request or upon termination of this Sample Request, receiving party shall promptly return or destroy confidential materials and certify in writing that all copies have been returned or destroyed, except as required by applicable law to retain administrative records.

Warranties & Liability

Samples are provided for evaluation only and are not intended for resale unless expressly agreed. Supplier warrants that samples will be delivered in materially the condition described at time of shipment. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, SAMPLES ARE PROVIDED "AS IS" AND SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages arising out of this Sample Request.

Governing Law

This Business Sample Request shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and communications, whether oral or written.
