BUSINESS SAMPLING TEMPLATE

PAYMENT TERMS

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the Notice Period after written notice. Termination will not relieve the Client of obligations to pay for services performed and samples shipped prior to termination.

CONFIDENTIALITY

Each party shall hold in confidence all Confidential Information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except to its employees, agents, or advisors with a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. "Confidential Information" does not include information that: (a) is or becomes public through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any liabilities, claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts or omissions, willful misconduct, or breach of this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnified party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

The parties acknowledge that time is of the essence for delivery and handling of certain samples and that delays can materially affect results. Provider shall promptly notify Client of any conditions that may compromise sample integrity.
