Parties and Contact Information

This Business Scanner Template (the Agreement) is entered into by and between the Company and the Service Provider identified above. The parties agree as follows.

Recitals

WHEREAS, the Company requires the procurement, setup and operational scanning of business documents and digital capture services to support its internal records and operational workflows; and

WHEREAS, the Service Provider represents that it possesses the expertise, equipment and personnel necessary to perform electronic and physical document scanning, indexing and secure transfer services under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree to the terms below.

Scope of Work

The Service Provider will perform scanning and document capture services as described. The parties will use the following description to define the work and deliverables.

Payment Terms

The Company shall pay the Service Provider for the services performed according to the following terms.

Invoices shall be submitted in writing to the Company and are due in accordance with the payment schedule. Overdue sums shall accrue interest at the rate specified above and the Service Provider may suspend services upon thirty (30) days' written notice for amounts not cured, without prejudice to other remedies.

Term and Termination

This Agreement commences on , (the Effective Date) and will continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above, or immediately for cause where required by law. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other, whether in written, electronic or oral form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) restrict disclosure to employees, contractors or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was known prior to disclosure, or is rightfully obtained from a third party without restriction.

Upon termination or written request, the receiving party shall return or destroy Confidential Information and certify destruction where practicable. The parties acknowledge that monetary damages may be insufficient and that injunctive relief may be warranted to prevent disclosure.

Warranties and Liability

The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. Except for willful misconduct or gross negligence, neither party's liability for damages shall exceed the total fees paid under this Agreement for the services giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment must be made in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.
