This Business Scenario Template (the "Agreement") is entered into as of Effective Date: , by and between Client Name: and Provider Name: .

RECITALS

WHEREAS, Client requires an articulated business scenario and associated deliverables to evaluate feasibility, costs, and operational impact for the project described herein; and

WHEREAS, Provider represents that it has the experience and resources necessary to prepare the scenario analysis, assumptions, financial models, and recommended actions as set forth in the Scope of Work; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will prepare and deliver the business scenario materials and Client will compensate Provider.

SCOPE OF WORK

Provider shall perform the services described below and deliverables in accordance with the specifications and schedule agreed by the parties.

PAYMENT TERMS

As consideration for the services and deliverables, Client shall pay Provider in accordance with the terms below.

If any undisputed amount remains unpaid past the due date, Client shall pay interest at a rate of per month, not to exceed the maximum permitted by law. In addition, Provider may assess a late administrative charge of for processing overdue invoices.

TERM AND TERMINATION

This Agreement shall commence on Start Date: , and shall continue until End Date: , unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party in accordance with the notice period above. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach in reasonable detail. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence and not use or disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business information, financial data, assumptions, models, trade secrets, and any materials marked confidential or that reasonably should be understood to be confidential.

The obligations of confidentiality do not apply to information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) was lawfully in the Receiving Party’s possession prior to receipt; (c) is rightfully received by the Receiving Party from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information. If disclosure is compelled by law, the Receiving Party shall provide prompt written notice to allow the Disclosing Party to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the following jurisdiction without regard to its choice of law rules: Jurisdiction:

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Remedies: Except as otherwise set forth, the remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity. The prevailing party in any dispute arising under this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
