What the Business SCF Document Is and When It’s Used

A Business SCF Document is a commercial agreement used to enable supply chain finance arrangements, including invoice assignment, receivables purchase, or a secured short-term credit facility between a seller, buyer, and financier. It typically defines the financed receivables, payment terms, security interest, representations and warranties, and events of default. For enforceability in the United States, parties must consider Uniform Commercial Code perfection steps for security interests and electronic-signature rules under the ESIGN Act (15 U.S.C. ch. 96, 2000) and state UETA statutes where applicable.

Why a Clear Business SCF Document Matters

A precise Business SCF Document reduces counterparty disputes, clarifies priority of payment, and supports lender due diligence. It also helps ensure UCC perfection and consistent interpretation across jurisdictions while enabling compliant electronic execution under ESIGN and state e-signature laws.

Data Breach: Liability and remediation costs
Fraud Exposure: Repurchase or indemnity claims

Common Preparation Mistakes to Avoid

  • Using informal or vague receivable descriptions that make it difficult to determine which invoices are covered and can complicate UCC filings.
  • Failing to verify signer authority or corporate resolutions, leading to challenges over whether signatories had power to bind the entity.
  • Neglecting to run search and file UCC‑1 financing statements promptly, which can result in loss of priority against other secured creditors.
  • Relying on weak signer authentication for high-value transactions, increasing the risk of fraudulent execution and later dispute.
