CONFIDENTIALITY

Each party shall treat all confidential or proprietary information received from the other party as Confidential Information. Confidential Information shall not be disclosed or used for any purpose other than the performance of obligations under this Schedule A. The obligations in this section shall survive termination for a period of years, except with respect to trade secrets where protection shall be for as long as permitted by law.

CHANGE ORDERS

Any change to the scope, deliverables, price, or schedule must be memorialized in a written change order signed by authorized representatives of both parties. No oral modification shall be effective.

INTELLECTUAL PROPERTY

Unless otherwise expressly agreed in writing, Contractor grants Client a non-exclusive, perpetual license to use Deliverables for Client's internal business purposes upon full payment. Contractor retains ownership of pre-existing materials, tools, techniques, and general knowledge. Any assignment of intellectual property rights shall be set forth in a separate written instrument.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, a party's aggregate liability under this Schedule A shall not exceed the total fees paid to Contractor under this Schedule A during the twelve (12) month period preceding the claim.

GOVERNING LAW

This Schedule A shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Schedule A, together with the Master Services Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral, relating to such subject matter.
