This Business Schedule Document (the "Schedule") is made effective as of Effective Date: by and between Client Name: and Service Provider Name:

WHEREAS

WHEREAS, Client requires certain business services and deliverables described in this Schedule to support Client's operations and commercial objectives; and

WHEREAS, Service Provider represents that it has the experience, personnel and resources necessary to perform the services and deliver the scheduled deliverables in accordance with the terms set forth herein; and

WHEREAS, the parties desire to set forth the scope, schedule, payment terms and other material terms governing performance under this Schedule as an attachment to, and incorporated by reference in, the underlying business agreement between the parties.

PAYMENT TERMS

Total Contract Amount:

Invoices shall be submitted by Service Provider upon achievement of each milestone and are due and payable within days of receipt. Late payments shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Client may withhold payment for work that materially fails to meet agreed acceptance criteria until such deficiencies are remedied.

Either party may terminate this Schedule for material breach upon written notice if the breaching party fails to cure within the notice period set forth above. Additionally, this Schedule may be terminated immediately by either party upon the insolvency or bankruptcy filing of the other party. Termination for convenience by Client is permitted upon written notice and payment for all undisputed work performed through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") will keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use Confidential Information except to perform its obligations under this Schedule and shall not disclose Confidential Information to any third party except to employees, agents or contractors who have a need to know and are bound by obligations of confidentiality at least as restrictive as those in this Schedule.

Confidentiality obligations shall not apply to information that (i) is or becomes publicly known through no breach by the Receiving Party, (ii) was known to the Receiving Party prior to disclosure, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed by the Receiving Party. Upon termination of this Schedule, the Receiving Party shall promptly return or destroy Confidential Information as directed by the Disclosing Party. The obligations set forth in this section shall survive termination or expiration of this Schedule for a period of three (3) years, or longer if required by law for trade secrets.

GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Schedule.

ENTIRE AGREEMENT

This Schedule, together with the underlying business agreement and any referenced exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment or waiver of any provision shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Schedule is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Schedule without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all its assets.
