SCOPE OF WORK

Service Provider will deliver the template in editable electronic format and provide up to two rounds of revisions to conform to Client's chart of accounts.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in full in accordance with the payment schedule. All payments are due in cleared funds and are non-refundable except as expressly provided in this Agreement.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days after written notice.

For purposes of this Agreement, Confidential Information means information disclosed by one party to the other in connection with this Agreement that is marked confidential or that a reasonable person would understand to be confidential. The foregoing does not apply to information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement, (b) was lawfully in the receiving party’s possession prior to receipt from the disclosing party, or (c) is required to be disclosed by applicable law, regulation, or valid judicial or governmental order, provided that the receiving party provides prompt notice to the disclosing party to permit it to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and schedules hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement. Neither party shall assign this Agreement without the other party’s prior written consent, except to an affiliate or in connection with a merger, sale of substantially all assets, or similar transaction.
