BUSINESS SD DOCUMENT

This General Business Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: , a business organized and existing under the laws of , and Service Provider Name: , a business organized and existing under the laws of .

WHEREAS

WHEREAS, Client requires certain business services and deliverables related to strategic development, operations, and project management, and Provider has represented that it has the expertise, personnel and resources to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform services and Client will pay for such services as described in this Agreement.

SCOPE OF WORK

Provider shall perform the work and deliverables specifically described below. Provider will perform all services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Provider for the services performed in accordance with the terms below. All amounts are payable in United States Dollars unless otherwise agreed in writing.

In addition to the Late Payment Fee specified above, overdue balances shall accrue interest at the rate stated or, if no rate is specified, at one and one-half percent (1.5%) per month, to the fullest extent permitted by law. Client shall also be responsible for reasonable collection costs and attorney fees incurred by Provider to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed up to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public, confidential or proprietary information disclosed by the other party (the "Disclosing Party"), including but not limited to business plans, customer lists, financial information and trade secrets ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to any third party except as required to perform under this Agreement and only to personnel who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein.

Confidentiality obligations shall survive termination of this Agreement for a period of from the date of disclosure, except with respect to trade secrets which shall be protected for so long as such information remains a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles. ENTIRE AGREEMENT

This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of either party to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision.
