What a Business Search Agreement Covers

A Business Search Agreement is a written engagement that defines the scope, deliverables, timing, fees, and permitted use of searches performed against public and proprietary business records. Typical searches include entity name availability, corporate status, UCC filings, lien and judgment searches, licensing checks, and ownership history. The agreement clarifies who may rely on results, limits liability for incomplete or outdated public data, and sets confidentiality and data-handling expectations. It also specifies the form of the final report, any follow-up inquiries, and payment or refund terms for incomplete or invalid searches.

Why this agreement matters for transactions and compliance

Using a Business Search Agreement sets expectations, assigns responsibility for search accuracy, and protects both parties by documenting scope, fees, and liability limits. Clear terms reduce disputes, support due diligence for financings and acquisitions, and provide an audit trail for regulatory or internal reviews.

Why this agreement matters for transactions and compliance

Who commonly engages or signs a Business Search Agreement

The agreement is used by counsel, title agents, lenders, corporate paralegals, and business services providers who commission or supply records searches.

  • Law firms and corporate counsel who require documented searches for M&A and closing files.
  • Lenders and title professionals who need verified lien, UCC, and corporate status information.
  • Small-business owners or acquirers securing name availability and regulatory clearance prior to transaction.

It also suits entrepreneurs and corporate buyers who need documented search results for closing, filing, or compliance purposes.

Core elements to include in a professional Business Search Agreement

A complete agreement is concise but specific: it defines scope, methodology, deliverables, timing, pricing, and dependence or reliance rights so recipients can use results with predictable legal and operational consequences.

Scope

Specify jurisdictions, databases searched, search depth, and exclusions. Be explicit about whether searches include state, federal, county, or commercial data sources and the lookback period.

Deliverables

Define the report format, supporting documents, certificates, and whether raw search outputs or a summarized opinion will be delivered to the client.

Pricing

State fixed fees, per-report rates, or hourly charges and identify extra costs such as copy fees, rush processing, or multi-jurisdiction surcharges.

Confidentiality

Specify handling of search results, limits on distribution, and any required NDAs or data-protection measures when proprietary databases are used.

Liability

Include disclaimers for public-record accuracy, caps on damages, and indemnities for reliance or third-party claims tied to search errors.

Term

Set effective date, expiration, conditions for re-searching data after a given period, and procedures for scope changes or cancellations.

Operational and security details to record

Encryption: TLS 1.2/1.3; AES-256 at rest
Access controls: Role-based access and MFA
Audit trail: Timestamps and action logs
Data retention: Defined retention schedule
BAA availability: HIPAA BAA when needed
Compliance: SOC 2 Type II, ISO 27001

Common legal and operational risks to disclose

Reliance risk: Client reliance may be limited
Incorrect data: Public-record errors possible
Late delivery: Missed deadlines affect closings
Confidentiality breach: Potential regulatory exposure
Fee disputes: Disagreements over scope or pricing
Regulatory fines: Industry-specific penalties possible

Practical challenges when preparing or relying on search results

  • Incomplete or inconsistent public records across counties can produce conflicting results that require manual verification and add processing time.
  • Ambiguous entity names and common trade names increase false positives; specifying identifiers like EIN or state registration number reduces ambiguity.
  • Delayed filings or late-recorded documents may be absent from searches conducted near a transaction date, creating post-closing discovery risk.
  • Failure to limit reliance or define client reliance scope can lead to liability if the recipient distributes results beyond intended parties.

How to complete a Business Search Agreement — step by step

Follow a short, ordered process to finalize the agreement, collect information, confirm payment terms, and initiate searches without unnecessary delays.

  • 01
Request details: Provide entity names, IDs, jurisdictions
  • 02
Agree scope: Confirm databases, lookback period, and report format
  • 03
Sign and pay: Execute agreement and fulfill payment terms
  • 04
Receive report: Deliver searchable report and audit log

Typical workflow from engagement to final report

A standard workflow includes intake, authorization, search execution, review, and delivery with an audit trail for future reliance or regulatory review.

  • Intake: Collect requester data and identifiers
  • Authorization: Confirm scope and signature authority
  • Execution: Run automated and manual searches
  • Delivery: Provide report and supporting records

Configuring an online search workflow

When automating searches, set clear options for authentication, notifications, and re-search windows to match the agreed scope.

Field Configuration
Authentication Email + optional SMS code for signer identity
Notifications Email reports to specified recipients
Re-search interval Specify days or trigger events for refresh
Export format PDF and CSV supported for records

Technical and platform considerations for eDelivery and signatures

Confirm supported document formats, integrations, and authentication methods before sending the agreement for signature.

  • File formats: PDF, DOCX, and Excel supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Auth options: Email, SMS, KBA, or SSO

Ensure your chosen platform meets security and compliance needs such as audit trails and required regulatory protections before finalizing execution.
