The Search Provider agrees to locate and report the items described below. The search will be conducted only against the official records maintained by the Provider and will not include non-indexed materials or external databases unless expressly agreed in writing.

PAYMENT TERMS

TERM AND TERMINATION

This agreement becomes effective as of the Start Date and continues until the End Date or until the parties have completed their obligations, unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice to the other party given no fewer than days prior to termination. Termination for cause is permitted if a material breach is not cured within days after written notice.

CONFIDENTIALITY

The parties acknowledge that search materials and any unredacted records may contain Confidential Information. Each party agrees to (i) use Confidential Information solely for the purposes set forth in this Agreement, (ii) restrict disclosure to its employees, agents, and professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (iii) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement.

GOVERNING LAW

This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
