WHEREAS, Provider has the documentary, electronic and professional resources to perform searches of business entity records, trade name registries, trademark databases, internet domain name records and other commercially reasonable sources as reflected in the Scope of Search below; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

Termination on Notice: This agreement may be terminated by either party upon written notice delivered to the other party at least days prior to the effective date of termination. Termination does not excuse Client's obligation to pay for work performed through the effective date of termination.

Confidentiality

Provider acknowledges that all non-public information furnished by Client in connection with the search engagement, including proposed names, business plans and other proprietary materials, is Confidential Information. Provider shall not disclose Confidential Information to any third party except as required by law or as reasonably necessary to perform the search. Provider shall exercise at least the same standard of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years.

Provider Certification; Limitations and Liability

Provider certifies that the searches described in this Statement were performed in a professional manner consistent with prevailing industry standards and the Scope of Search provided above. Provider does not guarantee that the proposed name will be registrable, available for use in commerce, free of confusing similarity, or immune from challenge. Proprietary databases and governmental records are subject to update and omission; accordingly, Client assumes the risk of subsequent discoveries or challenges.

Except for willful misconduct or gross negligence, Provider's liability for any claim arising out of or relating to this Statement shall be limited to the total fees actually paid by Client to Provider under this agreement. In no event shall Provider be liable for consequential, incidental, special or punitive damages.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

This Statement, together with any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether oral or written. Any modification must be in writing and signed by both parties.
