What the Business Secretarial Services Agreement Is

The Business Secretarial Services Agreement is a formal contract between a company and a provider of corporate secretarial services that documents the scope of administrative and compliance tasks to be performed on behalf of the business. Typical services covered include maintenance of statutory registers, preparation and filing of corporate records, minute-taking, shareholder communications, annual return preparation, registered office services, and corporate governance advisory. The agreement sets responsibilities, service levels, fees, confidentiality, and termination terms so both parties have a clear, enforceable framework for ongoing secretarial support.

Why a Clear Agreement Matters

Use a Business Secretarial Services Agreement to allocate statutory duties, reduce governance errors, and document service expectations. It protects companies from missed filings and unclear authority, supports regulatory compliance under state corporate statutes and federal requirements, and clarifies fee and termination arrangements.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

Common users include in-house legal teams, corporate secretaries, and third-party providers who manage governance and filings.

  • Public companies and large private firms managing board minutes, shareholder registers, and annual compliance.
  • Corporate secretarial firms delivering services under retainer agreements to multiple corporate clients.
  • In-house compliance officers coordinating statutory filings, registered agent duties, and entity maintenance.

The agreement fits businesses seeking consistent, auditable secretarial processes and vendors needing clear service-level definitions.

Core Contract Elements to Include

Core elements of a professional Business Secretarial Services Agreement clarify duties, standards, and governance to reduce compliance risk and assign accountability across corporate actors.

Scope

Clearly list secretarial tasks included and explicitly exclude tasks outside scope. Specify frequency, deliverables, and whether filings are filed by the provider or client to avoid ambiguity.

Service Levels

Define turnaround times, SLAs for filings and minutes, escalation paths for urgent requests, and remedies or credits for missed service levels, including reporting and review cadence.

Fees

State fixed fees, retainer terms, variable filing costs, invoicing schedule, and procedures to approve out-of-scope work and additional expenses, including prior written authorization thresholds and reimbursement methods.

Compliance

Require the provider to maintain statutory registers, file annual returns timely, and advise on corporate governance to ensure compliance with state corporate codes and federal obligations.

Confidentiality

Include nondisclosure terms, data handling procedures, permitted disclosures, and obligations on subcontractors; specify security measures for electronic records and any required BAAs for PHI and audit rights.

Termination

Define termination for convenience or cause, notice periods, transition assistance, return of records, and outstanding fee settlement procedures to protect both parties, including escrow of sensitive materials.

Practical Tips for Accurate Completion

Practical tips reduce errors and speed execution when using a Business Secretarial Services Agreement for ongoing governance support.

Use consistent legal entity names
Always enter the exact entity name as on formation documents and IRS records. Consistent naming prevents filing rejections, avoids confusion in authority delegation, and ensures that statutory registers and filings link cleanly to the correct legal entity in public records.
Maintain version control and retention logs
Keep executed copies in a secure archive with metadata and audit trails. Record amendment history, signatory authorization, and filing receipts to facilitate audits and legal discovery without reconstructing transaction chains.
Clearly allocate responsibility for statutory filings
Identify which party prepares and submits each statutory filing, how fees are handled, and who monitors deadlines. Define notification procedures for missed filings and remedial steps to reduce compliance risk.
Use eSign with comprehensive audit trails
Adopt eSignature platforms that capture timestamps, IP addresses, signer email, and document history. Retain a copy of the certificate of completion and ensure records meet reproduction requirements under ESIGN and applicable state laws.
