WHEREAS, Service Provider is engaged in the business of providing commercial security design, installation, monitoring and maintenance services; and

WHEREAS, Client desires to obtain a written quote for specified security services at the Client premises described above and authorizes Provider to propose equipment and labor necessary to achieve the agreed scope; and

Either party may terminate this engagement for material breach by the other party if such breach is not cured within days after written notice. Provider may suspend work for nonpayment until amounts due are paid.

Confidentiality

Both parties acknowledge that in the course of performing the services, each may obtain Confidential Information of the other. Confidential Information includes security system designs, alarm codes, configuration data, pricing and business practices. Each party shall: (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except as required to perform the services or as required by law, and (c) use it only for the purposes of fulfilling this Quote. Confidentiality obligations will survive any termination of services for a period of three years.

Warranties and Limitations

Provider warrants that equipment supplied will be new unless otherwise specified and installation will be performed in a workmanlike manner consistent with industry standards. Except as expressly stated, Provider disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Provider's liability for direct damages shall be limited to the amount paid by Client under this Quote; Provider shall not be liable for consequential, incidental, punitive or special damages.

Governing Law

This Quote and any resulting contract will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Quote, together with any attachments or exhibits referenced herein, constitutes the entire agreement between the parties with respect to the services described and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any modification must be in writing and signed by an authorized representative of each party.
