What a Business Selection Addendum Is and When It’s Used

A Business Selection Addendum is a supplemental contract attachment used when parties need to specify or modify business entity choices, services, fee allocations, or contractual options after a primary agreement has been drafted. It clarifies parties' selections (for example, chosen service levels, billing entity, jurisdiction, or subcontracting permissions), records agreed changes without rewriting the full contract, and provides a concise approval record. Use it to avoid ambiguity, create an auditable decision trail, and ensure each party signs the precise selections that will govern performance and invoicing under the primary agreement.

Why Using an Addendum Helps Reduce Disputes and Operational Friction

A Business Selection Addendum reduces disputes by documenting specific choices and responsibilities, streamlines billing and delivery by fixing operative selections, and preserves the main agreement's structure while recording changes. It creates a compact, signed record that supports enforcement and auditability.

Why Using an Addendum Helps Reduce Disputes and Operational Friction

Who Typically Prepares and Signs a Business Selection Addendum

Typical users include contract managers, procurement teams, outside counsel, and sales operations responsible for finalizing business choices tied to primary agreements.

  • Corporate procurement teams who finalize vendor selections and billing entities for contracts.
  • In-house legal counsel recording negotiated options without redrafting the entire agreement.
  • Sales and account managers documenting chosen service tiers, add‑ons, or client-specific terms.

Use by authorized signatories ensures selections are binding and simplifies audits, renewals, and downstream invoicing reconciliations.

Typical Roles Involved in Completing the Addendum

In-House Counsel

Procurement Lead

Manages selection of vendors, billing entity, and service tiers; completes fields related to pricing and delivery. Coordinates with finance for invoicing setup and with legal to include required exhibits, ensuring operational teams can act on the selections without additional contract amendments.
