BUSINESS SELECTION DOCUMENT

This Business Selection Document (the "Agreement") is entered into between Client Name: and Advisor Name: . The parties agree as follows.

WHEREAS

WHEREAS, Advisor is engaged in the business of providing professional business selection, entity formation advisory, and related consulting services and has represented that Advisor possesses the expertise and personnel necessary to render such services;

WHEREAS, Client desires to engage Advisor to assist with the evaluation of alternatives and selection of a business form, structure, or vendor options (the "Selection Services"), and to receive recommendations and documentation necessary to effectuate Client's chosen selection; and

WHEREAS, the parties desire to set forth the terms and conditions under which Advisor will perform the Selection Services and Client will compensate Advisor.

SCOPE OF WORK

Advisor shall provide Selection Services as set forth below. Services may include: analysis of Client's business objectives and risk profile; review of tax, liability, and governance implications of available entity forms; written recommendations; preparation of selection documentation; and reasonable communications with third parties on Client's behalf to implement the selection. The specific tasks, deliverables, and milestones shall be as described in the scope field below.

Client hereby confirms the selection of the following business option based upon Advisor's recommendations and Client's independent decision-making authority. Client acknowledges that Advisor does not guarantee particular tax or regulatory outcomes.

PAYMENT TERMS

Client shall pay Advisor for the Selection Services in accordance with the amounts and schedule below. All fees are exclusive of any taxes or governmental charges, which shall be the responsibility of Client.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until earlier terminated as provided below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above following written notice. Termination shall not relieve Client of its obligation to pay for services performed through the effective date of termination. Upon termination, Advisor will deliver to Client all work product for which Client has paid.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential information of the other party. "Confidential Information" means nonpublic information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) not disclose Confidential Information to any third party except to employees, agents or professional advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect confidentiality. The foregoing obligations do not apply to information that is or becomes generally known to the public through no wrongful act of the receiving party, that was lawfully in the receiving party's possession prior to disclosure, or that is required to be disclosed by law or valid legal process, in which case the disclosing party shall provide prompt notice when legally permitted.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or statements of work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any amendment or modification of this Agreement must be in a written instrument signed by both parties.

CERTIFICATIONS AND ACKNOWLEDGMENTS

Client certifies that the information provided to Advisor is true and complete to the best of Client's knowledge. Client acknowledges that Advisor's role is advisory only and that final decisions rest with Client. Client further acknowledges that Advisor has recommended no particular outcome and that Client is advised to seek independent tax or legal counsel for tax, regulatory, or formal formation matters if Client deems necessary.
