This Business Selection Form and General Business Agreement (the Agreement) is entered into by the parties identified below as of the Effective Date. Client Name: and Service Provider Name: acknowledge and agree to the terms set forth herein.

WHEREAS, Client seeks to establish or register a business entity and desires to engage Service Provider to perform selection, advisory, and administrative services in connection with naming, structure selection, and formation planning; and

WHEREAS, Service Provider represents that it has the expertise to provide the services described in this Agreement and will perform such services in accordance with the terms and conditions set forth below; and

WHEREAS, the parties desire to record selections made by Client and memorialize payment, confidentiality, and governing law provisions within a binding agreement.

SCOPE OF WORK

Service Provider shall provide advisory, selection, and related administrative services to Client as described below. The parties agree that the services to be rendered include naming availability review, entity structure analysis, preparation of selection memoranda, and assistance with filings as requested by Client.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in exchange for the services described in this Agreement. Fees are earned upon performance of the applicable services and are non-refundable except as expressly set forth in this Agreement.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least Notice Period (days): days prior to the intended termination date. Either party may terminate for material breach if the breach remains uncured for thirty (30) days after receipt of written notice.

CONFIDENTIALITY

Each party shall maintain in strict confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given its nature (Confidential Information). Confidential Information shall not include information that is (a) publicly available without breach; (b) rightfully received from a third party without restriction; or (c) independently developed without use of Confidential Information.

The receiving party shall not disclose Confidential Information except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations of confidentiality shall survive termination of this Agreement for Confidentiality Period (years): years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

ACKNOWLEDGMENT AND CERTIFICATION

By executing below, Client certifies that the selections recorded in this Form reflect Client's informed decisions and that Client is authorized to engage Service Provider to perform the services described. Service Provider certifies that it will perform services in a professional manner consistent with industry standards.

Client acknowledges that certain filing, registration, or governmental fees may be due in addition to the fees stated above and that Service Provider is not responsible for such fees unless expressly agreed in writing.
