RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional business services and possesses the personnel, skill, and experience necessary to perform the services described herein; and

WHEREAS, Client desires to retain Service Provider to perform such services under the terms and conditions set forth in this Agreement for a fixed term of twelve (12) months; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows.

1. SCOPE OF WORK

Service Provider shall provide the services described below in a professional and workmanlike manner consistent with industry standards. Specific tasks, deliverables, and milestones shall be as follows:

As full compensation for the services rendered under this Agreement, Client shall pay Service Provider the amounts and according to the schedule set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Invoices shall be issued by Service Provider in accordance with the payment schedule. Client shall pay invoices within days of Client's receipt of a proper invoice. Acceptable payment methods are set forth in the invoice. Client shall not unreasonably withhold payment for undisputed portions of any invoice.

Any undisputed amount not paid when due shall accrue interest at the rate of (or the maximum rate permitted by law, if less) from the due date until paid. Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees, incurred in the collection of any overdue amounts.

3. TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Section, shall continue for a period of twelve (12) months ending on End Date: .

Either party may terminate this Agreement for convenience upon prior written notice to the other party in accordance with the notice period set forth above. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

4. CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by either party to the other, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, customer lists, pricing, technical information, and trade secrets.

Each party shall (a) use the other party's Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure of Confidential Information to its employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein, and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that: (i) is or becomes publicly available other than through breach of this Agreement; (ii) was known to the receiving party prior to disclosure; (iii) is independently developed by the receiving party without use of Confidential Information; or (iv) is rightfully received from a third party without restriction.

The obligations in this Section shall continue during the Term and for a period of two (2) years following the termination or expiration of this Agreement. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief to prevent unauthorized disclosure of Confidential Information.

5. INDEPENDENT CONTRACTOR; INSURANCE; INDEMNITY

Service Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. Service Provider shall be responsible for all taxes and other statutory obligations arising from its performance. Service Provider shall maintain insurance coverage appropriate to the services provided and shall provide certificates of insurance upon reasonable request.

Each party agrees to indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement or its negligence or willful misconduct in connection with the performance of this Agreement.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. Exclusive venue for any disputes arising under this Agreement shall be the state or federal courts located in that State, and the parties consent to personal jurisdiction therein.

7. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments referenced herein, constitutes the entire understanding and agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations under this Agreement. Notices required by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.

If checked, this Agreement will automatically renew for successive one (1) month terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.
