WHEREAS, Client requires certain professional services relating to business operations, marketing, and project implementation as more fully described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and qualifications necessary to perform the services described herein and agrees to provide such services under the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Scope of Work

Service Provider will provide the services described below. Service Provider shall perform services in a professional and workmanlike manner, consistent with industry standards and applicable law.

Payment Terms

Client shall pay Service Provider the fees set forth below in exchange for the timely performance of the Scope of Work. All fees are payable in United States dollars unless otherwise agreed in writing.

Overdue amounts shall accrue interest at the lesser of: (a) or (b) the maximum amount permitted by law. Client shall also be responsible for collection costs and reasonable attorneys' fees incurred by Service Provider in enforcing payment.

Term and Termination

This Agreement commences on Start Date: and shall continue through End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for cause upon material breach by the other party that remains uncured thirty (30) days after written notice of such breach.

Confidentiality

Each party acknowledges that during the course of this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to (a) retain Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as necessary to perform the obligations under this Agreement, and (c) use Confidential Information solely for the purposes of performing under this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no wrongful act of the receiving party, is rightfully received from a third party without restriction, or is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Independent Contractor; Insurance

Service Provider is an independent contractor and not an employee, agent, joint venturer, or partner of Client. Service Provider shall be solely responsible for all taxes, withholding, benefits, and other obligations arising from the performance of services. Service Provider shall maintain at its expense commercial general liability insurance and, where applicable, professional liability insurance sufficient to cover its obligations under this Agreement.

Limitation of Liability

Except for breach of confidentiality, willful misconduct, or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party under this Agreement shall not exceed the total fees paid or payable to Service Provider under this Agreement during the six (6) month period preceding the claim.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail (return receipt requested), or commercial overnight courier.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits or attachments hereto expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
