Recitals

WHEREAS, Service Provider operates and maintains business service offerings and related business service profiles ("BSP") used by Client for delivery and management of contracted services; and

WHEREAS, Client seeks to update its BSP records, including service scope, billing and contact information, and Provider is willing to process such updates subject to the terms set forth herein; and

WHEREAS, the parties desire to document the specific BSP updates to be implemented and the commercial terms associated with those updates effective as of Effective Date: .

Scope of Work

The Service Provider shall perform the BSP update activities described below and shall use commercially reasonable efforts to complete the updates in accordance with the agreed Effective Date and schedule. Any work outside this Scope of Work requires written authorization and may incur additional fees.

Payment Terms

Client shall pay Provider for the BSP update services as follows. Fees shall be non-refundable except as expressly stated below.

Term and Termination

This Update shall commence on Start Date: and, unless earlier terminated, shall expire on End Date: .

Either party may terminate this Update for material breach if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of payment obligations for services performed and accepted prior to termination.

Confidentiality

Each party acknowledges that in the course of performing obligations under this Update they may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Update. Each party shall (i) maintain such information in confidence, (ii) use it solely to perform obligations under this Update, and (iii) not disclose it to third parties except to employees, contractors or advisors who have a need-to-know and are bound to protect such information. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Representations and Warranties

Each party represents that it has the authority to enter into this Update and that execution hereof by an authorized representative will bind the party. Service Provider warrants that services will be performed in a professional manner consistent with generally accepted industry standards.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable for incidental, consequential, special or punitive damages. Each party's aggregate liability for claims arising out of or related to this Update shall not exceed the total fees paid under this Update in the twelve (12) months preceding the claim.

Governing Law

This Update shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Update, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.
