BUSINESS SERVICE FRAMEWORK

This Business Service Framework ("Agreement") is entered into as of (the "Effective Date"), by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client requires certain business services and deliverables described herein; and

WHEREAS, Service Provider possesses the expertise, personnel and resources necessary to provide such services and agrees to perform under the terms set forth in this Agreement; and

WHEREAS, the parties desire to establish the scope, payment, term and other material provisions governing their relationship.

SCOPE OF WORK

Service Provider shall perform the services and supply the deliverables described below in a professional manner consistent with industry standards. The parties acknowledge that changes to scope may require adjustments to schedule and compensation as provided in this Agreement.

PAYMENT TERMS

As consideration for the performance of the services, Client shall pay Service Provider the fees set forth below in accordance with the invoicing and payment schedule. All fees are exclusive of taxes unless otherwise stated.

Service Provider shall submit invoices in accordance with the Payment Schedule. Client shall remit payment within the number of days specified on each invoice: days from receipt. Disputed amounts shall be raised in writing within 10 days of receipt of the invoice and shall not relieve Client of its obligation to pay undisputed amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon prior written notice of days. Either party may terminate immediately for material breach that is not cured within 15 days of written notice of such breach, or immediately upon insolvency or appointment of a receiver for the other party.

Upon termination, Client shall pay Service Provider for all services performed and expenses reasonably incurred through the effective date of termination. Sections relating to Confidentiality, Indemnity, Limitation of Liability, Governing Law and Entire Agreement shall survive termination.

CONFIDENTIALITY

"Confidential Information" means non-public commercial, technical, financial or strategic information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") either orally, in writing, or by inspection. Confidential Information excludes information that (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) was known to the Receiving Party prior to disclosure as shown by written records; (iii) is received from a third party without restriction and without breach of an obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

The Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or advisors who have a need to know and who are bound by obligations of confidentiality no less protective than those in this Agreement; and (c) take reasonable measures to protect the confidentiality of such information. The Receiving Party may disclose Confidential Information to the extent required by law, provided it gives prompt written notice to the Disclosing Party and uses reasonable efforts to obtain confidential treatment.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction for disputes arising under this Agreement.

INDEMNIFICATION AND LIMITATION

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's negligence, willful misconduct or material breach of this Agreement. Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality or indemnity obligations, neither party's aggregate liability for claims arising under this Agreement shall exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the claim.

ENTIRE AGREEMENT

This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth below or as otherwise designated by a party in writing. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three business days after deposit in the United States mail, postage prepaid, certified or registered.
